ADGM does publish registration and licence fees of its own, and we have deliberately kept them off this page: two of its own pages state different amounts for the same change, its consolidated schedule could not be opened, and an authority charge is not a setup cost once the mandatory office, the visas and the establishment card are added.

What ADGM is

ADGM is Abu Dhabi's international financial centre. It was inaugurated in late October 2015 and now covers 14.38 million sqm across Al Maryah Island and Al Reem Island, which ADGM describes as one of the largest financial districts in the world.

The part that matters most to a founder is the legal system. ADGM applies English common law directly, and runs three separate bodies inside its own jurisdiction: a Registration Authority that incorporates and licenses companies, the Financial Services Regulatory Authority (FSRA) that regulates financial firms, and the ADGM Courts, with a Court of First Instance and a Court of Appeal. Most UAE free zones are licensing authorities sitting inside the civil-law system. ADGM is a jurisdiction of its own.

Its footprint grew on 24 April 2023, when UAE Cabinet Resolution No. 41 of 2023 extended ADGM's jurisdiction from Al Maryah Island to Al Reem Island. ADGM set a transitional period for businesses already operating on Al Reem: they were exempt from its registration and licensing requirements up to and including 31 December 2024, after which an existing Abu Dhabi Department of Economic Development licence would no longer be valid for operating in and from Al Reem. From 1 November 2023, any business setting up new on Al Reem had to apply to ADGM.

ADGM later reported that it concluded the Al Reem integration, with more than 600 new businesses established on the island and over 500 existing companies migrated to an ADGM licence — approximately 1,100 entities in total brought under its jurisdiction. In the same announcement it said it was still working with the remaining entities that had yet to transition.

What sets it apart

Who it is not for. If you want a first UAE licence for consultancy, trading or e-commerce and you are working to a tight budget, ADGM is the wrong shape of jurisdiction. It requires physical presence inside the jurisdiction, its licence categories are organised around financial and professional activity rather than long general trading lists, and it is not an industrial or warehousing zone. That is not a criticism of ADGM — it is simply built for a different job.

Legal structures

ADGM's setting-up material lists private companies limited by shares, limited liability partnerships, limited partnerships, branches of foreign companies, foundations and special purpose vehicles, and points applicants to its own guidance document for the full set.

The complementary-activities rule

This one catches people out. ADGM states that for non-financial activity a commercial licence may cover more than one business activity, but those activities must be complementary — meaning they form a logical business proposition when considered together, with a genuine operational or strategic connection. Where a combination has no credible connection, ADGM says the application will be returned or will require separate licences.

In practice that rules out the approach some other free zones allow, where a founder bundles several unrelated activities onto one licence to keep options open. At ADGM the licence has to describe a coherent business.

How the visa model works at ADGM

ADGM does not sell packages with a visa quota attached. Allocation is tied to the space you actually hold and is assessed case by case.

Premises are the point where ADGM diverges hardest from the low-cost free zones. ADGM states that all its entities require physical presence within the jurisdiction, with SPVs the stated exception, and directs applicants to office and co-working space on Al Maryah Island and Al Reem Island.

Where ADGM spells the requirement out explicitly — in the requirements for its Tech Startup licence — it is firm: a startup must have at least one dedicated desk or office space, and a hot desk is not accepted. So the co-working space ADGM points to is space you hold in your own name, not a shared seat you drop into.

ADGM states the hot-desk exclusion under those Tech Startup requirements, so we attribute it there rather than claiming a blanket ban across every licence category. The broader rule ADGM does state across the board is physical presence within the jurisdiction, SPVs excepted.

Why this page carries no figures

ADGM does publish registration and licence fees, so we could have put numbers on this page. We have not, for three reasons, and it is fairer to state them than to hide them.

First, ADGM's own pages disagree with each other. Two separate ADGM announcements describe the same commercial licence fee change and give different initial registration amounts for the same categories. When an authority publishes two versions of one number, no third party should be picking a favourite and presenting it as fact.

Second, the consolidated schedule would not open. ADGM's Schedule of Fees document is the authoritative table that would settle the question. It returned an access error when we tried to read it, so we have not read it, and we are not going to quote around it.

Third, and most important, a registration fee is not a setup cost. ADGM's published fees are authority charges quoted in US dollars, and they sit alongside the mandatory office, the visas, the establishment card, medicals and Emirates ID, and any FSRA regulatory fees for a financial licence. A founder who reads a registration fee as a setup budget will be badly wrong, and the currency difference makes a side-by-side comparison against the nine zones we price misleading before anything else is added.

Formenzo publishes a price only where it can confirm every line in writing before payment. For ADGM it cannot, so it does not. If you want the authority's own published figures, they are on ADGM's own announcement pages and we will point you straight at them rather than reprint them here.

The honest comparison is not that ADGM is dearer than the nine zones Formenzo files. It is that ADGM is a different kind of thing, and the two do not sit on the same axis.

The structural difference is premises. The economics that make Ajman NuVentures, Fujairah Creative City and SPC workable for a first licence rest on a flexi-desk or shared-desk arrangement: a registered address and a seat you do not hold exclusively. ADGM requires physical presence inside its jurisdiction and, where it states the requirement explicitly, a dedicated desk or office rather than a hot desk. Remove the flexi-desk and the lean-licence model does not exist. That is the single clearest reason ADGM is not a substitute for the nine, and it has nothing to do with anyone's margin.

The second difference is what the licence is for. Several of the nine are chosen for breadth — IFZA and SPC for long activity lists, Meydan for a Dubai address on a service company, RAKEZ for warehousing, DMCC for commodities. ADGM's complementary-activities rule pulls the other way: the licence must describe a coherent business, and unrelated activities need separate licences. If your plan is to hold several loosely related activities on one licence, the nine will serve you better and ADGM will push back.

When ADGM is genuinely the right answer, and none of the nine will do

  • You need FSRA authorisation to carry on a regulated financial activity. No free-zone trade licence substitutes for a financial services regulator.
  • You need English common law on the face of your structure — for a fund, a shareholders' agreement, security, or an investor who will not accept anything else.
  • You are building a holding company, SPV or foundation where the governing law and the courts are the entire point of the exercise.

In those cases, do not let a cheaper licence talk you out of it. Registering the wrong entity in the wrong jurisdiction and restructuring later costs far more than the difference.

When you should look at the nine instead

One caution on the early-stage route. ADGM's Tech Startup licence is the most accessible way into the jurisdiction and it comes with a published visa ratio, which is more than most zones disclose. It still carries the dedicated-desk requirement. Treat it as a founder-friendly door into a common-law jurisdiction, not as a cheap alternative to a lean free-zone licence — those are different products for different problems.
